Terms & Conditions of Business
Sparta Mech Ltd
These Terms & Conditions apply to all quotations, estimates, installations, servicing, maintenance, repairs, surveys, commissioning, design work, plumbing, heating, ventilation, air conditioning, refrigeration, renewable energy systems and associated services carried out by Sparta Mech Ltd.
1. Basis of Contract
All works are carried out strictly in accordance with the written quotation, agreed specification, drawings, written correspondence and these Terms & Conditions. By accepting a quotation, paying a deposit, requesting attendance, allowing works to commence or permitting materials to be ordered, the Client confirms acceptance of these Terms & Conditions.
No verbal agreement, site discussion or assumption shall vary the agreed scope unless confirmed in writing by Sparta Mech Ltd.
Any quotation issued by Sparta Mech Ltd is subject to the full Terms & Conditions published on the Sparta Mech Ltd website.
2. Quotations & Estimates
Quotations are valid for 30 days unless otherwise stated. Quotations are based upon the information available at the time of pricing and may be revised where supplier costs, labour costs, legislation, specification or site conditions change.
Any item not expressly included within the quotation shall be deemed excluded.
All quotations are subject to site survey and confirmation of existing conditions.
Sparta Mech Ltd reserves the right to amend quotations due to:
- Material cost increases
- Supplier increases
- Programme delays
- Design changes
- Variations requested by the Client
- Access restrictions
- Unforeseen site conditions
3. Variations & Additional Works
Any work outside the agreed quotation shall constitute a variation and will be chargeable.
Variations may include but are not limited to:
- Additional pipework or ductwork
- Additional controls
- Builder/client design changes
- Re-routing of services
- Out-of-hours works
- Delays caused by others
- Return visits
- Additional commissioning
- Remedial works to existing systems
Variations may be charged on a quotation basis or on a daywork and materials basis.
4. Existing Systems & Client Responsibility
Sparta Mech Ltd accepts no responsibility for pre-existing faults, defects or non-compliant installations unless expressly stated in writing.
Where Sparta Mech Ltd connects to, alters, drains, fills, recommissions or works upon an existing plumbing, heating, ventilation, refrigeration or air conditioning system, the Client accepts that existing faults may become apparent.
Sparta Mech Ltd shall not be liable for:
- Existing leaks
- Sludge or corrosion
- Faulty controls
- Poor water quality
- Air locks
- Defective pipework
- Existing refrigerant leaks
- Existing electrical faults
- Failed pumps, valves or components
- Non-compliant historic installations
Unless specifically included within the quotation, Sparta Mech Ltd does not assume design responsibility or liability for existing systems, previous contractor works or third-party installations.
Where existing systems are reused, all such systems remain the responsibility of the Client unless specifically stated otherwise within the quotation.
5. Retention of Title
All goods, materials, systems, equipment, appliances, pipework, controls, ductwork, heat pumps, boilers, cylinders, air conditioning systems and associated items supplied by Sparta Mech Ltd remain the sole property of Sparta Mech Ltd until paid for in full.
Ownership of goods shall not pass to the Client until cleared funds have been received in full for all invoices relating to the project.
Sparta Mech Ltd reserves the right to recover unpaid goods where legally permitted.
The Client shall not sell, transfer, dispose of, alter or remove unpaid goods prior to full payment.
6. Payment Terms
Deposits, staged payments and interim payments may be requested in accordance with the quotation.
Unless otherwise agreed in writing, invoices are payable within 14 days of invoice date.
Sparta Mech Ltd reserves the right to suspend works, remove labour from site, withhold commissioning, certification, MCS documentation, handover information and warranties where payment is overdue.
The Client shall not withhold payment due to:
- Minor snagging
- Delays caused by others
- Third-party disputes
- Existing system defects
- Works outside Sparta Mech Ltd’s scope
All payments shall be made in full without deduction, set-off, retention or counterclaim unless agreed in writing by Sparta Mech Ltd.
7. Late Payment
Sparta Mech Ltd reserves the right to charge statutory interest and reasonable recovery costs on overdue accounts.
Commercial accounts may be charged interest at 8% above the Bank of England base rate together with debt recovery and legal costs where applicable.
Sparta Mech Ltd reserves the right to appoint debt recovery agents, solicitors or legal representatives in order to recover overdue amounts.
8. Installations
All systems shall be installed to a professional standard in accordance with manufacturer guidance and applicable regulations.
The Client shall ensure adequate access, parking, power supply and clear working areas are available.
Unless specifically included, quotations exclude:
- Electrical works
- Builders’ works
- Decoration
- Making good
- Scaffolding
- Craneage
- Structural works
- Diamond drilling
- Landlord/planning approvals
- Out-of-hours works
Where a Client changes specification after materials have been ordered or installation has commenced, all associated costs shall remain payable.
9. Air Conditioning, Heat Pumps & Ventilation
System performance depends upon building insulation, controls setup, maintenance, user operation and existing building conditions.
Running cost estimates, efficiencies and grant information are indicative only and cannot be guaranteed.
External unit locations remain subject to planning or landlord approval where applicable.
MVHR and ventilation systems may require future balancing, filter changes and maintenance which remain the Client’s responsibility unless otherwise agreed.
10. Warranties
Sparta Mech Ltd provides a 12-month workmanship warranty unless otherwise stated.
Manufacturer warranties remain subject to manufacturer terms and conditions.
Warranties may be void where:
- Systems are altered by third parties
- Systems are not serviced
- Incorrect usage occurs
- Existing systems fail
- Damage occurs due to freezing, corrosion, misuse or power issues
Sparta Mech Ltd does not accept liability for manufacturer defects or failures.
11. Delays & Access
Sparta Mech Ltd shall not be liable for delays caused by:
- Other trades
- Material shortages
- Weather
- Utility delays
- Client delays
- Restricted access
- Structural issues
- Supplier delays
Failed visits, restricted access or delays caused by the Client may be chargeable.
Additional parking, congestion, toll or ULEZ charges may apply where applicable.
12. Limitation of Liability
Sparta Mech Ltd shall not be liable for indirect or consequential losses including:
- Loss of profit
- Loss of business
- Increased running costs
- Temporary accommodation
- Business interruption
Liability shall be limited to the value of the works carried out by Sparta Mech Ltd.
Nothing within these Terms excludes liability where exclusion is prohibited by law.
13. Website Terms
All quotations issued by Sparta Mech Ltd are subject to the latest version of the Terms & Conditions published on the Sparta Mech Ltd website.

14. Governing Law
These Terms & Conditions shall be governed by the laws of England and Wales and any dispute shall fall under the jurisdiction of the courts of England and Wales.

By accepting this quotation, instructing works, paying a deposit or allowing works to proceed, the Client confirms acceptance of Sparta Mech Ltd’s Terms & Conditions.
All goods and materials supplied by Sparta Mech Ltd remain the property of Sparta Mech Ltd until paid for in full.
